YES on the Amendments

This special election is to amend the April 2007 version of the Edgewater Isle Master Association Bylaws and Declarations. These amendments are very straightforward.

The objective is for homeowners and only homeowners to have the right to vote in the election for the homeowner representatives on the Master Board. HIP will retain their voting rights in any other election held by the Board.

The Master Board has 5 directors: 2 directors representing North homeowners, 2 directors representing South homeowners, and 1 director representing Human Investment Project (HIP), the current owner of the Senior Apartment Center. (Bylaws Section 4.1)

ISSUES:

HIP appoints their director to the Master Board. Homeowners cannot vote to elect the HIP director and homeowners cannot vote to remove the HIP director.

HIP also votes for the North and South homeowner candidates for the Master Board. Which means, HIP participates in selecting all 5 of the Board members.

HIP casts 92 votes for each open seat on the Board. In a contested election, the HIP votes could change the homeowners' desired outcome of an election.

There was a Special Meeting of the homeowners association on January 27th to discuss the amendments. The Executive Director of HIP attended and participated in the meeting.

• The HIP Executive Director revealed his vote in last year's annual election for directors to the Master Board . The HIP votes changed the outcome of last year's election. Homeowners voted to elect one candidate to represent Edgewater Isle South homeowners on the Board. The HIP votes resulted in another candidate winning.

• The HIP Executive Director essentially stated that, if passed, the amendments are equivalent to "taxation without representation" for HIP. We disagree. HIP has approximately 22% (92 of 416) of the units in our community. Their appointed director to the Master Board represents 20% (1 of 5) of the seats on the Master Board. Therefore, we believe HIP has appropriate representation on the Master Board.

• The HIP Executive Director stated he intends to vote their 92 votes against these amendments because he believes HIP should keep their votes and their influence over who is elected to the Master Board.

Summary ~ The goal of these amendments is to ensure that each homeowner has ~ the power to determine who represents them on the Master Board ~ These amendments do not infringe upon HIP's privilege to appoint their ~ director to the Master Board ~ These amendments do not infringe upon HIP's right to cast their 92 votes ~ in any other election held by the Master Board ~ We need 279 YES votes of the possible 324 homeowner votes to pass these ~ amendments to change the Bylaws and Declarations
